Allerthal-Werke AG, Köln, Deutschland ('reporting entity')  informed us
pursuant to sec. 27a(1) WpHG on 13.01.2014, thereby making reference to to
the official note according sec. 21(1) WpHG dated 18.12.2013 of exceeding
the theshold of 75 %, regarding the purpose of the acquisition of the
voting rights as follows:
 
* The reporting entity entered all shares of Esterer AG as working assets
and intend to sell these shares. By acquiring additional shares of Esterer
AG respectively voting rights and exceeding the threshold of 75 %, the
possibility of selling is supposed to be improved. In this respect, the
investment is used to realize trading profits. If the planned sale of
shares cannot be carried out, the reporting entity reserves to follow other
strategic intentions.
 
* The reporting entity does intend to obtain further voting rights by
acquisition or any other way within the next 12 month.
 
* The reporting entity does not intend to influence the composition of the
issuers' administration, management or supervisory board.
 
* The reporting entity does not intend to change the capital structure of
Esterer AG, especially with regards to the ratio of internal/outside
financing and the dividend policy.
 
* The capital for acquiring the shares was financed partly bei equity
capital, partly bei borrowed funds. The acquisition did not sustantially
change the financial structure of the reporting entity.
