Bourbon Brothers Completes Merger with Smokin Concepts Development Corporation

Creates the Ultimate Southern Themed Restaurant Group

COLORADO SPRINGS, Colo., Jan. 29, 2014 (GLOBE NEWSWIRE) -- Smokin Concepts Development Corporation (SCDC), a Denver based restaurant group, today announced the successful completion of a merger and reorganization with Bourbon Brothers Holding Company, a Colorado Springs based restaurant development firm. As part of the transaction, the surviving entity was renamed Bourbon Brothers Holding Corporation (BBHC), which began trading under the symbol OTC: RIBS effective January 22, 2014. The partnership created the ultimate Southern themed restaurant group with two operating restaurants and a third concept set to open in late 2014.  Additional corporate information can be found on the company's website, www.BourbonBrothers.com.

Southern Hospitality Denver (www.shdenver.com), the restaurant previously operating under SCDC, serves up Southern BBQ favorites, with an unmatched drink menu, in an unbeatable downtown Denver location. Situated in the lower downtown (LoDo) community, the restaurant is only blocks from Denver's main mass transit location, Union Station, and Coors Field, home of the Colorado Rockies.  Additionally, the Southern Hospitality restaurant brand's co-creators, Grammy Award winning singer/songwriters Justin Timberlake and Ryan Tedder, bring a national audience to the marketing efforts.

The cornerstone Bourbon Brothers restaurant, Bourbon Brothers Southern Kitchen (BBSK), opened its doors to the public for the first time January 27, 2014 in Colorado Springs. BBSK features a sophisticated, farmhouse estate design; a scratch made, Southern style, family friendly menu; and the largest selection of bourbons west of the Mississippi River.  Company Founder, JW Roth describes the feel of the restaurant as follows, "Imagine Sunday dinner somewhere in the South, perhaps Grandma's house, packed with all the great family cooks bringing their personal specialties representing the amazing comfort foods of the region.  Pair that feast with a sweet iced tea or a great bourbon, and you've got a meal that's impossible to beat." BBSK is also home to the Bourbon Room, a place unlike any bar in the state, complete with suspended bourbon barrels, straight from Kentucky, and over 125 bourbons always on hand. Visit www.BourbonBrothersSouthernKitchen.com for full restaurant details including menus, information about events and the one of a kind Bourbon Room experience.

The third Bourbon Brothers Holding Corporation restaurant concept (currently under development in Colorado Springs) is Bourbon Brothers Seafood and Chophouse (BBSF). BBSF will be an upscale dining experience built in the style of the famous properties along Bourbon Street in New Orleans, complete with two dining levels and an iron balcony railing surrounding. The lower level will house a fine dining seafood and chophouse while the upstairs will cater to younger professionals with a chic, tap room style. Taking full advantage of the amazing views of the Rocky Mountains, BBSF will incorporate an indoor/outdoor dining experience with large swinging double doors and fire pits throughout the balcony.  BBSF is scheduled to open Labor Day weekend of 2014.

The Bourbon Brothers footprint in Colorado Springs is being further expanded by an outdoor promenade with a 250 person outdoor amphitheater. The open-air space will function as a live music venue and accommodate farmer's markets during the warmer months. "We want it to be a community-centric venue, where we can have concerts and family events," explains company CEO, Robert Mudd. The promenade will adjoin Bourbon Brothers Southern Kitchen and Bourbon Brothers Seafood and Chophouse with multiple outdoor fireplaces and a concession pavilion with a bar and food service area.

Bourbon Brothers Southern Kitchen locations will represent the majority of the growth for BBHC over the near term, in the form of new corporately owned stores and franchise locations.  BBHC will be employing an aggressive growth model over the course of the next five to seven years, focusing on building new Bourbon Brothers Southern Kitchen restaurants in locations adjoining new Bass Pro Shops or Cabela's stores, just as they have done with the campus in Colorado Springs.  Understanding that the target demographic for the concept closely resembles that of the outdoor retail giants, the Company is excited to have the opportunity to grow alongside these two enterprises.  It is the Company's intent to build three to four new BBSK locations per year, and will aim to have thirteen fully operating Bourbon Brothers Southern Kitchens by the end of calendar year 2017.
