BayWa subsidiary Turners & Growers Ltd. is in discussions about the
acquisition of Apollo Apples Ltd.

BayWa subsidiary Turners & Growers Ltd. (T&G), a world-wide operating
exporter and producer of fresh fruit with seat in New Zealand, is currently
in discussions about a possible acquisition of Apollo Apples Ltd., an
exporter and producer of apples also based in New Zealand.

The discussions with the shareholders of Apollo Apples Ltd. are currently
still in an early stage. In particular, there has been no contractual
agreement between the parties so far. The outcome of the discussions is
currently still open. In particular, it is also still possible that there
will be no agreement on an acquisition of Apollo Apples Ltd. by T&G. In
case the discussions will be successful and result in a contractual
agreement on the acquisition of Apollo Apples Ltd., it is to be expected
that the consummation of the transaction will be subject to various
conditions.
