ADLER Real Estate AG convenes an extraordinary general meeting of
shareholders in order to adopt a resolution for a capital increase against
contributions in kind in order to acquire the shares of Estavis AG

Hamburg, 27 February 2014. The Management Board of ADLER Real Estate AG
(ISIN DE0005008007) in co-ordination with the Supervisory Board today
decided not to create new ADLER shares, which shall be granted as
compensation to the shareholders of Estavis AG in the course of the planned
voluntary public takeover offer, from the existing authorized capital. In
order to save the existing authorized capital, a general meeting of the
shareholders shall be convened instead which shall resolve a capital
increase against contributions in kind.

The extraordinary general meeting is expected to take place on 22 April
2014. The company will make an application to regulator German Federal
Financial Supervisory Authority for extension of the period to submit the
offer document.

The actual amount of the capital increase is not fixed yet and will be
announced in due course, as the amount will be determined on the basis of
the exchange ratio which has not been decided yet.
