Smith, Jr., has notified the company that he intends to retire as a member of the company's Board of Directors, effective at the company's Annual Meeting of Stockholders to be held on June 10, 2014. Mr. Smith, who had served as a Director of the company since November 2007, is the retired Chairman of the Board of Directors of General Motors Company, a position he held from 1996 to 2003. Mr. Smith also held a variety of other positions at General Motors, including Chief Executive Officer from 1992 to 2000.
