Vilnius, Lithuania, 2014-03-21 15:39 CET (GLOBE NEWSWIRE) -- On 20 March 2014, LITGRID AB (company code: 302564383, registered address: A. Juozapavičiaus g. 13, Vilnius) received a resignation letter from the member of the Supervisory Board Violeta Greičiuvienė, in which she declared that she was going to resign on 7 April 2014.
On 21 March 2014, LITGRID AB also received a letter from its main shareholder UAB EPSO-G, which owns a 97.5 per cent shareholding and vote in LITGRID AB. In its letter, UAB EPSO-G offers to update the agenda of an ordinary general shoulders’ meeting of LITGRID AB to be held on 7 April 2014 with the following issues and their draft solutions:

2.1. “To elect Mindaugas Vaičiulis a member of the Supervisory Board on 8 April 2014 for the remaining term of office of the resigned member.“
2.2. “To treat the newly elected member of the Supervisory Board as an independent member of the Supervisory Board.“
2.3. “To pay an independent member of the Supervisory Board a hourly salary of LTL 150 (one hundred and fifty litas), VAT excluded, for his actual activity as an independent member of the Supervisory Board.“
2.4. “To set the upper limit of a monthly salary paid to an independent member of the Supervisory Board at LTL 2 500 (two thousand five hundred litas), VAT excluded.“
2.5. “To authorise the chairman of the Supervisory Board of LITGRID AB to sign an agreement on the activity of the Supervisory Board member with the newly appointed independent member of the Supervisory Board.“
2.6. “To authorise CEO of LITGRID AB to perform all necessary actions related to the election of a new member of the Supervisory Board and his registration in the Register of Legal Entities. CEO of LITGRID AB is entitled to authorise any other person (by power of attorney) to perform the said actions.“
Mindaugas Vaičiulis (born in 1974) holds the position of Head of the Banking Service of the Bank of Lithuania. Vaičiulis holds a bachelor’s and master’s degrees in banking from Vilnius University and is a certified financial analyst.
