Resolutions Adopted at the Ordinary General Shareholders Meeting of LITGRID AB on April 7, 2014


Vilnius, Lithuania, 2014-04-07 14:06 CEST (GLOBE NEWSWIRE) -- On April 7, 2014 during the ordinary general shareholders meeting of LITGRID AB (legal entity code - 302564383, legal status – public company, registered address: A. Juozapavičiaus g. 13, Vilnius city, Vilnius city municipality, the Republic of Lithuania, data about the company are collected and stored at Vilnius branch of VĮ Registrų Centras, Division of Registry of Legal Entities), the following resolutions were adopted:

1. Approval of the Company’s consolidated annual report for 2013.
To approve the consolidated annual report on the activity of the Company and the Group for 2013 (see attached).
 

2. Presentation of the findings of an independent auditor
The findings of the Company’s audit presented.
 

3. Approval of a set of consolidated statements and financial statements of the Company for 2013.
To approve a set of consolidated statements and financial statements of the Company for 2013 (see attached).
 

4. Distribution of the Company’s profit (loss) for 2013.
To approve the distribution of the Company's profit (loss) for 2013 (see attached).
 

5. Approval of the standard terms of the Contract for the Activity of a Member of the Supervisory Board
To approve the standard terms of the Contract for the Activity of a Member of the Supervisory Board (see attached).
 

6. Election of a new member of the Supervisory Board
6.1. To elect Mindaugas Vaičiulis as a member of the Supervisory Board of LITGRID AB from 8 April, 2014 for the remaining term of the Supervisory Board.
6.2. To consider the newly elected member of the Supervisory Board an independent member of the Supervisory Board.
6.3. To set the hourly wage of LTL 150 (one hundred fifty litas) without VAT for the Company’s independent member of the Supervisory Board for the activities actually performed as an independent member of the Supervisory Board.
6.4. To establish that the maximum monthly wage of an independent member of the Supervisory Board shall be the amount of LTL 2.500 (two thousand five hundred litas) without VAT.
6.5. To authorise the chairman of LITGRID UAB Supervisory Board to conclude with the newly elected member of the Supervisory Board a Contract for the Activity of a Member of the Supervisory Board.
6.6. To authorise LITGRID AB Chief Executive Officer to perform all the necessary actions related to the election of a new member of the Supervisory Board and registration at the Register of Legal Entities of the Republic of Lithuania. LITGRID Chief Executive Officer has the right to transfer the authorisation to (to authorise) any other persons to perform any of the aforesaid actions.


Mindaugas Vaičiulis (born in 1974) is the Director of the Banking Service of the Bank of Lithuania. Mindaugas Vaičiulis has Bachelor’s and Master’s degrees in banking from Vilnius University and is a certified financial analyst.


LITGRID AB notes that only the persons who are the shareholders of LITGRID AB at the end of the record date, i.e. 22 April 2014, are entitled to dividends. Dividends to such persons are to be paid in compliance with Clause 5 of Article 60 of the Law on Companies of the Republic of Lithuania, i.e. within 1 (one) month from the day of the adoption of a decision on dividend payment, through the securities account managers of LITGRID AB shareholders and LITGRID AB’s (issuer) securities accounting manager Swedbank AB.


Dividends of LTL 0.2237 (EUR 0.0648) per share.
