No. 9 2014 Course of annual general meeting (AGM) of Solar A/S


The AGM discussed and adopted:

  • Management’s review and Annual Report 2013 including statement of the Board of Directors and the Executive Board, and the independent auditor’s report.
  • The resolution to appropriate profit as stated in the adopted financial statements with dividend payments of DKK 12.00 (€ 1.61) per share at DKK 100.
  • The grant of authority to the Board of Directors to distribute up to DKK 15.00 (€ 2.01) per share as extraordinary dividends for the period until the next annual general meeting.
  • The grant of authority to the Board of Directors to acquire company treasury shares for the period until the next annual general meeting.
     
  • Authority of the AGM chairman to notify the Danish Business Authority of matters adopted by the AGM.
  • Remuneration of board members for 2014: Fixed annual remuneration of DKK 150,000.
  • Election of the following board members:
    Re-elected to the Board of Directors were:
    Jens Borum, Niels Borum, Agnete Raaschou-Nielsen, Jens Peter Toft and Steen Weirsøe.

    Newly elected to the Board of Directors was Ulf Gundemark.

    In addition, the following employee representatives make up the Board of Directors:
    Lars Lange Andersen, Ulrik Damgaard and Bent H. Frisk.
  • Re-election of PricewaterhouseCoopers Statsautoriseret Revisionspartnerselskab as auditor.


At the following board meeting, the Board of Directors elected its officers and re-elected Jens Borum as its chairman. Re-elected for the audit committee were Jens Peter Toft and Jens Borum. Agnete Raaschou-Nielsen was named Vice chairman of the Board of Directors and member of the Audit Committee.
