Confirmation and specification of transfer request; cash compensation set
at EUR 11.27 per no-par share

By communication dated today to ESSANELLE HAIR GROUP AG, HairGroup AG has
confirmed the transfer request pursuant to § 327a (1) Sentence 1 of the
German Stock Corporation Act (AktG) in conjunction with § 62 (1) and (5) of
the German Commutation Act (UmwG) received by ESSANELLE HAIR GROUP AG on 10
February 2014. Furthermore, it has set the appropriate level of cash
compensation to be granted to minority shareholders due for exclusion
within the merger-specific squeeze out pursuant to § 327a (1) Sentence 1 of
the German Stock Corporation Act (AktG) in conjunction with § 62 (5) of the
German Commutation Act (UmwG) at EUR 11.27 per no-par share in ESSANELLE
HAIR GROUP AG.

It has confirmed its intention to conclude a merger agreement, on which
basis and in which context ESSANELLE HAIR GROUP AG is to be merged into
HairGroup AG and minority shareholders excluded. Accounting for treasury
stock at ESSANELLE HAIR GROUP AG, HairGroup AG continues to hold more than
90% of the share capital in ESSANELLE HAIR GROUP AG.

Also, the Management Board of ESSANELLE HAIR GROUP AG and the Management
Board of HairGroup AG have already agreed upon a draft version of a merger
agreement between ESSANELLE HAIR GROUP AG as the transferring company and
HairGroup AG as the receiving company that permits the merger-specific
squeeze out. The Management Board of ESSANELLE HAIR GROUP AG intends to
sign this merger agreement with HairGroup AG on 15 May 2014. Among other
items, the Annual General Meeting of ESSANELLE HAIR GROUP AG expected to be
held on 27 June 2014 is to be requested to adopt the transfer resolution
accompanying the merger-specific squeeze out.
