InterCloud and certain of its executives are charged with issuing a series of materially false and misleading statements during the Class Period, violating federal securities laws.

On March 13, 2014, an article on SeekingAlpha.com disclosed that InterCloud had paid the stock promotional firm The DreamTeam Group to begin a misleading campaign designed to boost InterCloud's stock price without disclosing that The DreamTeam was paid by InterCloud to promote its stock.

Thereafter, an article published on March 17, 2014 by journalist Roddy Boyd further detailed the promotional fraud being perpetrated by InterCloud.

On this news, the price of InterCloud's stock plummeted.
