GRENKE's Scrip Dividend achieves a good rate of acceptance
* Nearly 40% of the total number of shares chose a dividend payment in the
form of shares
* Scrip Dividend is an attractive and innovative way for GRENKE
shareholders to increase their commitment to the Company
Baden-Baden, May 6, 2014: The option, offered by GRENKE to shareholders for
the first time to receive the dividend exclusively in cash or as a
combination of cash and shares in GRENKELEASING AG (Scrip Dividend), was
well received. The Scrip Dividend was chosen by 39.4% of the outstanding
shares. At a subscription ratio of 106.9:1, a total of 54,199 new shares
will be issued. The cash payment amounts to approximately EUR 10.6 million.
"For the first time, GRENKE shareholders had the choice of receiving part
of the dividend in the form of additional shares in GRENKE. The good
acceptance of the shareholders met our expectations. Shareholders used this
opportunity to increase their commitment to GRENKE and to strengthen the
financial position and equity base by reinvesting their dividend in the
Company", commented Wolfgang Grenke, Chairman of the Board of Directors of
GRENKELEASING AG.
"These funds support our growth strategy to position GRENKE as a globally
operating Company", explained Jörg Eicker, Chief Financial Officer (CFO) of
GRENKELEASING AG.
After the entry of the consummation of the capital increase in the
commercial register, the new shares will be admitted and will be posted to
the depositary accounts of the shareholder, presumably on May 8, 2014. The
payment of the cash dividend, the settlement of fractional shares, and the
payment of the Post Tax Adjustment Amount will presumably take place on
today's date.
