Corporate News:  Navigator Equity Solution sells stake in Catalis SE

Waalre, May 7th, 2014 - Today, Navigator Equity Solution SE has been agreed
with the company Leo Capital 1 LLP, to sell and transfer all owned shares
and share options of Catalis SE. The transfer of the shares and share
options takes place with immediate effect. The purchaser is an investment
vehicle of Vespa Capital. Vespa Capital is a private investment firm
focused on investing in growing businesses in Europe. The Supervisory Board
of Navigator Equity Solution SE approved the selling contract and legal
transfer.

The sale of our stake includes the transfer of 832,968 Catalis shares as
well as all held 1,000,000 share options. The agreed purchase price for
Catalis shares is EUR 2.00 for each share and EUR 1.00 for each share
option. The total proceeds from this transaction for Navigator Equity
Solution SE amounts to about EUR 2.6 m. The transfer of the stake is under
the condition precedent of full payment of the purchase price.

This transaction has a positive impact on the net result and liquid funds
in the second quarter of fiscal year 2014. The sale of the investment is
related to the long term strategy of retaining only majority-run
portfolios.

The sole Management Board member of Navigator Equity Solution SE, Mr.
Robert Käß as well as the sole Supervisory Board member, Mr. Jens
Bodenkamp, that are at the same time Members of the Board of Catalis,
resigned as Board Members of Catalis with immediate effect. The purpose of
this is the new composition of shareholders of Catalis.

Catalis is a worldwide leading outsourcing provider focusing on high-end
technical services relating to the creation of digital content for the
film, video games and software industries. Catalis offers both testing and
development services. Catalis shares are listed (amongst others) on
Frankfurt Stock Exchange on the regulated market segment General Standard.
