On May 19, 2014, NASDAQ OMX filed the following documents with the U.S. Securities & Exchange Commission (the “SEC”) relating to a public offering of $500 million aggregate principal amount of 4.25% senior notes due 2024 pursuant to an effective shelf registration statement:
1. a preliminary prospectus supplement;
2. an issuer free writing prospectus containing the final term sheet for the notes; and
3. a Form 8-K attaching the press releases announcing the launch and pricing of the offering, as well as the redemption of NASDAQ OMX’s outstanding 4.00% senior notes due 2015.
The Form 8-K also attached a press release announcing the appointment of Thomas A. Wittman as Executive Vice President, Global Head of Equities.
