Memorial Resource Development Corp. Announces Launch of Initial Public Offering


HOUSTON, June 2, 2014 (GLOBE NEWSWIRE) -- Memorial Resource Development Corp. (Nasdaq:MRD) announced today that it has launched its initial public offering of 36,000,000 shares of common stock at an anticipated initial offering price between $16.00 and $18.00 per share pursuant to a registration statement on Form S-1 filed previously with the U.S. Securities and Exchange Commission ("SEC"). The Company is offering 24,500,000 shares of its common stock, and the selling stockholder named in the registration statement is offering 11,500,000 shares of the Company's common stock. The selling stockholder also expects to grant the underwriters a 30-day option to purchase up to an additional 5,400,000 shares of the Company's common stock. The shares are expected to trade on the NASDAQ Global Market under the ticker symbol "MRD."

Citigroup and Barclays are acting as joint book-running managers for the offering. BofA Merrill Lynch, BMO Capital Markets, Goldman, Sachs & Co., Raymond James, RBC Capital Markets and Wells Fargo Securities are also acting as book-running managers for the offering.
