II. Notifications of voting rights regarding alterations due to a capital
increase of SLM Solutions Group AG to EUR 17,980,867 by issuing 4,416,667
new shares.
1. Pursuant to section 21 (1) of the German Securities Trading Act
(Wertpapierhandelsgesetz - WpHG) the share of voting rights of Mr.
Hans-Joachim Ihde, Germany, in SLM Solutions Group AG, Luebeck, Germany, on
9 May 2014 amounted to 26.81% (4,821,079 voting rights) and thus fell below
the threshold of 30%. Mr. Hans-Joachim Ihde directly held no voting rights
in SLM Solutions Group AG as of this date. 26.81% of voting rights (this
corresponds to 4,821,079 voting rights) are attributed to Mr. Hans-Joachim
Ihde pursuant to section 22 (1) sentence 1 no. 1 of the German Securities
Trading Act (Wertpapierhandelsgesetz - WpHG).
Attributed voting rights are held by the following controlled undertakings,
whose share of voting rights in SLM Solutions Group AG amounts to 3% or
more:

2. Pursuant to section 21 (1) of the German Securities Trading Act
(Wertpapierhandelsgesetz - WpHG) the share of voting rights of Ceresio
GmbH, Luebeck, Germany, in SLM Solutions Group AG, Luebeck, Germany, on 9
May 2014 amounted to 26.81% (4,821,079 voting rights) and thus fell below
the threshold of 30%.
3. Pursuant to section 21 (1) of the German Securities Trading Act
(Wertpapierhandelsgesetz - WpHG) the share of voting rights of DPE Deutsche
Private Equity B.V., Schiphol, Netherlands, in SLM Solutions Group AG,
Luebeck, Germany, on 9 May 2014 amounted to 43.56% (7,832,435 voting
rights) and thus fell below the threshold of 50%. DPE Deutsche Private
Equity B.V. directly held no voting rights in SLM Solutions Group AG as of
this date. 43.56% of voting rights (this corresponds to 7,832,435 voting
rights) are attributed to DPE Deutsche Private Equity B.V. pursuant to
section 22 (1) sentence 1 no. 1 of the German Securities Trading Act
(Wertpapierhandelsgesetz - WpHG).
Attributed voting rights are held by the following controlled undertakings,
whose share of voting rights in SLM Solutions Group AG amounts to 3% or
more:
- Parcom Deutschland I GmbH & Co. KG
4. Pursuant to section 21 (1a) of the German Securities Trading Act
(Wertpapierhandelsgesetz - WpHG) the share of voting rights of ING Groep
N.V., Amsterdam, The Netherlands, in SLM Solutions Group AG, Luebeck,
Germany, on 9 May 2014 amounted to 43.56% (7,832,435 voting rights) and
thus fell below the threshold of 50%. ING Groep N.V. directly held no
voting rights in SLM Solutions Group AG as of this date. 43.56% of voting
rights (this corresponds to 7,832,435 voting rights) are attributed to ING
Groep N.V. pursuant to section 22 (1) sentence 1 no. 1 of the German
Securities Trading Act (Wertpapierhandelsgesetz - WpHG).
Attributed voting rights are held by the following controlled undertakings,
whose share of voting rights in SLM Solutions Group AG amounts to 3% or

Germany, on 9 May 2014 amounted to 43.56% (7,832,435 voting rights) and
thus fell below the threshold of 50%. NN Group N.V. directly held no voting
rights in SLM Solutions Group AG as of this date. 43.56% of voting rights
(this corresponds to 7,832,435 voting rights) are attributed to NN Group
N.V. pursuant to section 22 (1) sentence 1 no. 1 of the German Securities
Trading Act (Wertpapierhandelsgesetz - WpHG).
Attributed voting rights are held by the following controlled undertakings,
whose share of voting rights in SLM Solutions Group AG amounts to 3% or
