ST. LOUIS, June 12, 2014 (GLOBE NEWSWIRE) -- LMI Aerospace, Inc. ("LMI Aerospace") (Nasdaq:LMIA), a leading supplier of complex structural assemblies, components and kits and provider of design engineering services to the aerospace and defense markets, today announced that it priced its previously announced offering of $250 million in aggregate principal amount of 7.375% second-priority senior secured notes due 2019 (the "Notes"). The offering is expected to close on June 19, 2014, subject to customary closing conditions.
LMI Aerospace will pay interest on the Notes semi-annually on January 15 and July 15 of each year, commencing on January 15, 2015. The Notes will mature on July 15, 2019. The Notes will be the senior secured obligations of LMI Aerospace and will be guaranteed by LMI Aerospace's existing and future wholly-owned subsidiaries. LMI Aerospace intends to use the net proceeds of the offering, together with borrowings under a new senior secured revolving credit facility it expects to secure commensurate with the offering, to repay the full amounts outstanding under its existing revolving credit facility and term loan B facility and for related fees and expenses.
The Notes and related guarantees are being offered in a private placement solely to qualified institutional buyers in reliance on Rule 144A under the Securities Act of 1933, as amended (the "Securities Act"), or outside the United States to persons other than "U.S. persons" in compliance with Regulation S under the Securities Act.
