West Corporation Announces Pricing of $1 Billion Private Placement of 5.375% Senior Notes Due 2022


OMAHA, Neb., June 18, 2014 (GLOBE NEWSWIRE) -- West Corporation today announced the pricing of $1 billion in aggregate principal amount of 5.375% senior notes due 2022 (the "Notes") in a private placement to eligible purchasers. The Notes mature on July 15, 2022 and will be issued at par.

Proceeds of the Notes, together with cash on hand, will be utilized to repurchase all of the Company's outstanding $500 million in aggregate principal amount of 8.625% Senior Notes due 2018, up to $200 million of its $650 million in aggregate principal amount of 7.875% Senior Notes due 2019 and repay a portion of its Senior Secured Term Loan Facility due 2018. The offering of the Notes is expected to close on July 1, 2014, subject to customary conditions.

The Notes will be offered in a private offering exempt from the registration requirements of the Securities Act of 1933, as amended (the "Securities Act"). The Notes will be offered only to qualified institutional buyers pursuant to Rule 144A and to certain persons outside of the United States pursuant to Regulation S, each under the Securities Act.

The Notes have not been registered under the Securities Act or any applicable state securities laws, and, unless so registered, may not be offered or sold in the United States absent registration or an applicable exemption from, or in a transaction not subject to, the registration requirements of the Securities Act and other applicable securities laws.
