GAGFAH S.A.: Fortress Representatives Resign with Immediate Effect
from Board of Directors of GAGFAH S.A.

Following the successful placement of the remaining shares in GAGFAH by
Fortress Investment Group last month, the two Fortress representatives on
the Board of Directors of GAGFAH S.A. resigned with immediate effect from
the Board of Directors of the Company, as expected.

Wesley R. Edens and Randal A. Nardone submitted their resignation letter to
Chairman Gerhard Zeiler on July 8, 2014, informing him of their immediate
resignation from their positions as Directors of the Company and members of
different committees.

As a consequence, the Board currently comprises the following five members:

Gerhard Zeiler (Chairman; Independent Director)
Dr. Jürgen Allerkamp (Vice-Chairman; Independent Director)
Dieter Ristau (Independent Director)
Yves Wagner, Ph.D. (Independent Director)
Thomas Zinnöcker (CEO of GAGFAH GROUP)

The Board of Directors will deliberate on the succession of Mr. Edens and
Mr. Nardone in the next Board meeting and will be sure to inform the public
and capital markets in due course.
