According to the lawsuit, on July 13, 2014, URS and AECOM Technology Corporation ("AECOM") announced the signing of a definitive merger agreement pursuant to which AECOM would acquire URS in a merger valued at roughly $6 billion. As a result of the merger, URS shareholders are only anticipated to receive $33.00 per share in cash and 0.734 shares of AECOM stock in exchange for each share of URS.

The complaint, which was filed on July 21, 2014, alleges that the consideration that URS shareholders are expected to receive is inadequate, equating to only a 9% premium for URS stockholders based on current trading. The complaint further alleges that the merger was a product of a "rushed sale" by one of the Company's largest shareholders JANA Partners LLC ("JANA"). The complaint further provides that on March 17, 2014, the Company's board of directors executed a "cooperation agreement" with JANA whereby JANA was allowed to appoint four directors of its own to the Company's board of directors and caused the Company to form a "Value Creation Committee." Within a couple of months after announcing the Value Creation Committee, URS announced the merger with AECOM.
