M/A-COM INVESTOR ALERT - Andrews & Springer LLC is Investigating M/A-Com Technology Solutions, Inc. for Possible Violations of Securities Laws and Breaches of Fiduciary Duty

WILMINGTON, Del., Aug. 4, 2014 (GLOBE NEWSWIRE) -- Andrews & Springer LLC, a boutique securities class action law firm focused on representing shareholders nationwide, is investigating potential breach of fiduciary duty claims against the Board of Directors of M/A-Com Technology Solutions, Inc. ("M/A Com" or the "Company") relating to the acquisition of Nitronex LLC ("Nitronex). On February 13, 2014, M/A Com announced the signing of a definitive agreement pursuant to which M/A Com would acquire Nitronex from GaAs Labs LLC ("GaAs Labs"), an affiliate of the Company's parent affiliate M/A-Com Technology Solutions Holdings, Inc. ("Parent"), in an acquisition valued at roughly $26 million.

Our investigation so far has revealed that the process leading up to the announcement of the acquisition appears to have substantial conflicts of interest, thus tainting the acquisition and making the acquisition unfair to M/A-Com shareholders. As disclosed by the Company, M/A Com is purchasing Nitronex from GaAs Labs, a related affiliate of Parent, which is controlled by John L. Ocampo, Chairman of Nitronex and Parent, as well as President and Co-Founder of GaAs Labs.

Andrews & Springer is investigating whether M/A-Com directors have breached their fiduciary duties by proceeding with a conflicted transaction.
