Today commenced the subscription period for the new shares of Arco Vara AS and it will last until 29 August, 2014 17:00 (Estonian time)
According to the decision adopted at the extraordinary general meeting on 4 July, 2014 Arco Vara AS offers for subscription up to 3.5 million new shares with a nominal value of 0.7 EUR per share. The subscription price is 1.00 EUR per share. The new shares are offered to the existing shareholders of Arco Vara AS, professional investors and the employees of Arco Vara group (i.e. Arco Vara AS and companies belonging to the same group) in accordance with the public offering and listing prospectus. The mentioned prospectus (in English) and its summary (in Estonian) were published on 1 August, 2014 and are electronically available on the webpage of Arco Vara AS webpage (www.arcorealestate.com), NASDAQ OMX Tallinn AS (www.nasdaqomxbaltic.com) and also on the webpage of Financial Supervision Authority (www.fi.ee). Printed copies of the prospectus and its summary are available for free at the Arco Vara AS office in Tallinn at Jõe 2b until the end of the subscription period, i.e. 29 August, 2014 at 17:00 (Estonian time). Investors can ask Arco Vara AS to send the prospectus and/or its summary electronically to a requested e-mail address by calling +372 6144 630.
As according to the prospectus Arco Vara AS existing shareholders will be guaranteed the pre-emptive right to acquire the new shares corresponding to the number of Arco Vara AS shares that the shareholder owns on 7 August, 2014 at 23:59 (Estonian time), the list of Arco Vara AS existing shareholders was fixed yesterday, i.e. on 7 August, 2014, at 23:59 (Estonian time).
The list of the employees of Arco Vara group (i.e. Arco Vara AS and companies belonging to the same group) to whom the new shares of Arco Vara AS are also offered was fixed yesterday, i.e. on 7 August, 2014, at 08:00 (Estonian time).
IMPORTANT DATES:
· 08.08.2014 subscription period commences
· 29.08.2014 subscription period ends
· On or about 01.09.2014 allocation
· On or about 04.09.2014 New Shares will be transferred to the investors’ securities accounts
· On or about 17.09.2014 New Shares will commence trading on the NASDAQ OMX Tallinn Stock Exchange
