Announcement from Systemair AB (publ) Annual General Meeting 2014


Systemair (NASDAQ OMX Stockholm: SYSR) held its Annual General Meeting on August 28, 2014 in the Systemair Expo in Skinnskatteberg, Sweden. The Meeting voted unanimously in favour of the Board's proposal in all suggestions.

The most important decisions main content was:

Dividend
The Board's proposal of a dividend of SEK 1.50 (1.50) per share, plus an extra dividend of SEK 1.50, making a total of SEK 3.00 per share was approved by the Meeting. The record date for dividend was determined Tuesday, September 2 2014. The dividend will be paid through Euroclear Sweden AB on Friday, 5 September 2014.

The Board
The meeting followed the Nomination Committee's proposal and re-elected board members Elisabeth Westberg, Lars Hansson, Göran Robertsson, Hannu Paitula and Gerald Engström. Lars Hansson was elected chairman.

Proposed fees for the board and audit committee
The meeting resolved that the total of fees paid to the Board shall remain unchanged at: SEK 1,250,000 (1,250,000), of which SEK 500,000 shall be paid to the Chairman and SEK 250,000 to each of the regular members. No fee shall be payable to any Board member who is an employee of the Company
