I.
On September 15th, 2014 Evonik Industries AG, Essen, Germany, has given us
notice pursuant to section 27a of the German Securities Trading Act (WpHG)
as follows:

'With reference to our notice pursuant to section 21 para. 1 WpHG as of
today we hereby give notice pursuant to section 27a para. 1 sent. 1 WpHG as
follows:

1.
By participating in Borussia Dortmund GmbH & Co. KGaA, Evonik Industries AG
is pursuing strategic objectives, including the participation serves as a
longer term investment to develop and strengthen the sponsor relationship
with BVB.

2.
Evonik Industries AG does not intend to obtain further voting rights in
Borussia Dortmund GmbH & Co. KGaA by acquisition or any other way within
the next twelve months.

3.
Evonik Industries AG does not intend to influence the composition of the
administrative and management bodies of Borussia Dortmund GmbH & Co. KGaA,
however, within the scope of its participation of 14.78% intends to
influence the composition of the company's supervisory board.

4.
Evonik Industries AG does not intend to change the capital structure of
Borussia Dortmund GmbH & Co. KGaA, especially with regards to the ratio of
internal/outside financing and the dividend policy.

Regarding the source of funds we confirm that Evonik Industries AG has
acquired all the shares it owns in Borussia Dortmund GmbH & Co. KGaA with
own resources.'

II.
On September 15th, 2014 RAG-Stiftung, Essen, Germany, has given us notice
pursuant to section 27a WpHG as follows:

'We refer to our notice pursuant to section 21 para. 1 and section 22 para.
1 sent. 1 no. 1 WpHG dated September 15th, 2014 regarding the transgression
of a 10% threshold of the voting rights in Borussia Dortmund GmbH & Co.
KGaA with its seat in Dortmund.

RAG-Stiftung (the 'Notifying Party') shall notify the objectives pursued
with the acquisition and the source of funds used for the acquisition in
accordance with section 27a para. 1 sent. 1 WpHG as follows:

The transgression of the voting rights threshold is not due to the
acquisition of shares by the Notifying Party, but to an attribution of
voting rights from shares held by a subsidiary of the Notifying Party
(section 22 para. 1 sent. 1 no. 1 WpHG).

Objectives pursued with the acquisition of voting rights (section 27a para.
1 sent. 3 WpHG)

1.1
By participating in Borussia Dortmund GmbH & Co. KGaA, the Notifying Party
is pursuing strategic objectives, including the participation serves as a
longer term investment to develop and strengthen the subsidiary's sponsor
relationship with BVB.

1.2
The Notifying Party does not intend to obtain further voting rights in
Borussia Dortmund GmbH & Co. KGaA by acquisition or any other way within
the next twelve months.

1.3
The Notifying Party does not intend to influence the composition of the
administrative and management bodies of Borussia Dortmund GmbH & Co. KGaA,
however, within the scope of a participation of 14.78% which is attributed
through its subsidiary intends to influence the composition of the
company's supervisory board.

1.4
The Notifying Party does not intend to change the capital structure of
Borussia Dortmund GmbH & Co. KGaA, especially with regards to the ratio of
internal/outside financing and the dividend policy.

2.
Source of funds (section 27a para. 1 sent. 4 WpHG)

The acquisition of voting rights is solely a result of the attribution of
voting rights pursuant to section 22 para. 1 sent. 1 no. 1 WpHG. Equity or
debt funds were not used to fund the acquisition of voting rights.'
