GRENKELEASING AG - Stable shareholder structure secured for the long term

In July 2014, Mr and Mrs Grenke, together with their sons Moritz Grenke,
Roland Grenke, and Oliver Grenke ("the Grenke family"), have established a
family company under the name of Grenke Beteiligung GmbH & Co. KG, to which
the Grenke family contributed all of their shares held in GRENKELEASING AG
on September 17, 2014. Following the contribution, Grenke Beteiligung GmbH
& Co. KG now holds a total of 6,291,733 shares in GRENKELEASING AG. This
represents the Grenke family's unchanged interest in GRENKELEASING AG's
share capital of approximately 42.64%.
The shares held by Grenke family have been contributed to the family
company in order to ensure continuity and a stable shareholder structure.
The purpose of the family company is to jointly hold and manage the shares
of the Grenke family in GRENKELEASING AG for the long term and avoid a
fragmentation of the shareholding of the Grenke family in GRENKELEASING AG.
Hence, the pooling of the shares of the Grenke family into a family company
serves the continuation of the family-run GRENKELEASING AG.
On September 17, 2014, the existing pooling agreement concluded by the
members of the Grenke family was cancelled upon the contribution of the
shares in Grenke Beteiligung GmbH & Co. KG.
Grenke Vermögensverwaltung GmbH is the general partner of Grenke
Beteiligung GmbH & Co. KG. Grenke Vermögensverwaltung GmbH does not have an
interest in Grenke Beteiligung GmbH & Co. KG's assets and earnings. Mr
Wolfgang Grenke and Mrs Anneliese Grenke each have the right of sole
representation as Executive Director. Mr Wolfgang Grenke exercises
significant influence over Grenke Vermögensverwaltung GmbH and, therefore,
indirectly over Grenke Beteiligung GmbH & Co. KG.
Following the concentration of the shares in Grenke Beteiligung GmbH & Co.
KG, several partial limited partners' shares were gifted in the context of
succession planning for the Grenke family. Hence, Mr Wolfgang Grenke, Mrs
Anneliese Grenke, Mr Moritz Grenke, Mr Roland Grenke, and Mr Oliver Grenke
now each hold an almost identical interest in Grenke Beteiligung GmbH & Co.
KG's fixed capital.
By decision of September 1, 2014, the Federal Financial Supervisory
Authority exempted Grenke Beteiligung GmbH & Co. KG and Grenke
Vermögensverwaltung GmbH from the obligation to submit a mandatory offer to
the other shareholders of GRENKELEASING AG. Details of the exemption from
the obligation to submit a mandatory offer are being published separately.
