Following a review, conducted in close collaboration with the Bundesanstalt
fÃ¼r Finanzdienstleistungsaufsicht (BaFin), of the way BlackRock has
interpreted its voting rights disclosure obligations under German law,
Black Rock entities have filed on September 30, 2014, a statement
representing their holdings as at the settlement date of September 25,
2014, in E.ON SE.

The statement does not reflect a change in BlackRocks's current holdings in
E.ON SE. The statement simply updates information currently in the market
regarding BlackRock's holdings in E.ON SE. Further, the statement does not
signify any change in investment strategies pursued.
