Proceedings at the annual general meeting 2014

 

The extraordinary general meeting of Auriga Industries A/S was held on October 7, 2014, cf. company announcement no. 13/2014 of September 12, 2014.

The general meeting adopted the Board of Directors’ proposal of divestment of Cheminova A/S, CVR no. 12 76 00 43, to FMC Corporation, and the Board of Directors was authorized to make and approve any amendments considered necessary or appropriate in order to complete the divestment. Cheminova A/S – together with its subsidiaries – constitutes all current operational activities of Auriga.

The Board of Directors’ proposal was adopted by the general meeting by 99.98 % of the votes and 99.89 % of the share capital represented. A total of 89.86 % of the votes and 62.89 % of the share capital was represented at the Extraordinary General Meeting.

The Extraordinary General Meeting was closed at 2.05 pm Danish time.

Closing of the divestment is subject to customary conditions including approval by relevant competition authorities. Closing is expected to take place early 2015, when all closing conditions have been met.
