Publication of notifications pursuant to § 26 para. 1 sentence 1 of the
German Securities Trading Act (WpHG) with the objective of Europe-wide
distribution
The following entities have notified ProSiebenSat.1 Media AG on 09 October
2014 by notification pursuant to §§ 21 para. 1, 22 of the German Securities
Trading Act (WpHG) as follows:
1. BlackRock Advisors Holdings, Inc.
The share of voting rights of BlackRock Advisors Holdings, Inc., New York,
NY, U.S.A., in ProSiebenSat.1 Media AG, Medienallee 7, 85774 Unterföhring,
Germany, fell below the threshold of 5% on 07 October 2014 and, on this
date, amounted to 4.92% of the total number of voting rights (this
corresponds to 10,754,678 voting rights of a total number of 218,797,200
voting rights (the 'Total Voting Rights')) in ProSiebenSat.1 Media AG.
1.28% of the Total Voting Rights (this corresponds to 2,807,783 voting
rights) are to be attributed to BlackRock Advisors Holdings, Inc. pursuant
to § 22 para. 1 sentence 1 No. 1 WpHG.
3.95% of the Total Voting Rights (this corresponds to 8,644,033 voting
rights) are to be attributed to BlackRock Advisors Holdings, Inc. pursuant
to § 22 para. 1 sentence 1 No. 6 in connection with sentence 2 WpHG.
Please note that the total amount stated above does not necessarily equal
the sum of the detailed attributed holdings. This results from voting
rights having multiple attributions within the BlackRock group structure.
2. BlackRock International Holdings, Inc.
The share of voting rights of BlackRock International Holdings, Inc., New
York, NY, U.S.A., in ProSiebenSat.1 Media AG, Medienallee 7, 85774
Unterföhring, Germany, fell below the threshold of 5% on 07 October 2014
and, on this date, amounted to 4.92% of the total number of voting rights
(this corresponds to 10,754,678 voting rights of a total number of
218,797,200 voting rights (the 'Total Voting Rights')) in ProSiebenSat.1
Media AG.
1.28% of the Total Voting Rights (this corresponds to 2,807,783 voting
rights) are to be attributed to BlackRock International Holdings, Inc.
pursuant to § 22 para. 1 sentence 1 No. 1 WpHG.
3.95% of the Total Voting Rights (this corresponds to 8,644,033 voting
rights) are to be attributed to BlackRock International Holdings, Inc.

The share of voting rights of BR Jersey International Holdings L.P., St.
Helier, Jersey, Channel Islands, in ProSiebenSat.1 Media AG, Medienallee 7,
85774 Unterföhring, Germany, fell below the threshold of 5% on 07 October
2014 and, on this date, amounted to 4.92% of the total number of voting
rights (this corresponds to 10,754,678 voting rights of a total number of
218,797,200 voting rights (the 'Total Voting Rights')) in ProSiebenSat.1
Media AG.
