Deutsche Lufthansa AG intends the sale of the IT infrastructure division of
Lufthansa Systems AG including the completion of an IT service agreement
for the Lufthansa Group with the IBM Group at the same time. The final
terms and conditions are still subject to negotiations. The future savings
during the likely term of the agreement, which is to run for a period of
seven years, will average some EUR 70 million annually. Restructuring
charges and the purchase price will have a one-time negative impact of EUR
240 million (before taxes) in the 2014 financial year. This impact will not
be recognized in the operating result, which is relevant for the financial
guidance, but in the IFRS net result of the Lufthansa Group and the HGB
(local GAAP) result of Deutsche Lufthansa AG. Closing of the agreement is
in particular subject to the approval of the company's Supervisory Board.
The closing of the transaction and thus the dissolution of the IT business
segment is expected to take place at the end of the first quarter of 2015.
