American Realty and certain of its executives are charged with issuing a series of materially false and misleading statements during the Class Period, violating federal securities laws.

On October 29, 2014, the American Realty announced that certain of its previously issued financial statements contained errors and should no longer be relied upon. American Realty also announced its CFO and Chief Accounting Officer, who had key roles in preparing the Company's financial statements, were resigning.
