AS Ekspress Grupp and OÜ Suits Meedia decided to merge AS SL Õhtuleht (acquiring company)with its sole shareholder OÜ Ajaleht Holding (company being acquired) and AS Ajakirjade Kirjastus (acquiring company) with its sole shareholder OÜ Ajakirjad Holding (company being acquired). After the merger, the shares of AS SL Õhtuleht and AS Ajakirjade Kirjastus will be owned directly in equal parts by AS Ekspress Grupp and OÜ Suits Meedia. Before the merger, those shareholdings were owned through a holding companies OÜ Ajaleht Holding and OÜ Ajakirjad Holding, which will be erased from the register as a result of the merger.
Presented restructuring will not have a significant impact on the Ekspress Grupp. The members of the supervisory and management board do not have any personal interest in the transaction.
