JSC “BRIVAIS VILNIS” informs that it has received a notification from SIA “BALTIC FINANCE & CAPITAL” about the acquisition of major shareholding in JSC “BRIVAIS VILNIS”.
The „BALTIC FINANCE & CAPITAL” Ltd. owned 100% shares of the „BRIVAIS VILNIS COMPANY” Ltd., but the “BRIVAIS VILNIS COMPANY” Ltd. owned 1 548 878 shares of the “BRIVAIS VILNIS” JSC.
There was performed reorganization in accordance with the second part of Article 335 of the Commercial Law, i.e. consolidation, in that the “BRIVAIS VILNIS COMPANY” Ltd. participated as the company being acquired, in result of reorganization transferring all of its properties to the acquiring company – “BALTIC FINANCE & CAPITAL” Ltd.
In accordance with the Company Register of the Republic of Latvia resolution No.6-12/180375 from November 25, 2014, there was made the entry in commercial register on reorganization - consolidation by adding the company “BRIVAIS VILNIS COMPANY” Ltd. to the company “BALTIC FINANCE & CAPITAL” Ltd., and the company “BRIVAIS VILNIS COMPANY” Ltd. was removed from the commercial register.
In result of reorganization 1 548 878 shares of the “BRIVAIS VILNIS” JSC which belonged to the “BRIVAIS VILNIS COMPANY” Ltd. are now owned by the “BALTIC FINANCE & CAPITAL” Ltd. and are included in financial instruments account of the “BALTIC FINANCE & CAPITAL” Ltd.
