NEW YORK, Dec. 1, 2014 (GLOBE NEWSWIRE) -- A class action has been filed in the United States District Court for the Southern District of New York on behalf of shareholders of Cole Real Estate Investments, Inc. ("Cole") who exchanged their Cole shares for American Realty Capital Properties, Inc. shares pursuant to the December 23, 2013 Merger Registration Statement and held those shares through October 28, 2014. The lawsuit seeks damages and rescission of the Merger.
On October 29, 2014, American Realty Capital Properties, Inc. revealed that the Registration Statement and Proxy were materially false and misleading. It disclosed that, contrary to its prior representations, it lacked proper and effective financial reporting controls and procedures and that its previously issued financial statements and communications for 2013 and the financial statements and communications for the first two quarters of 2014 "should no longer be relied upon."
