Chemtura Announces Preliminary Results of Tender Offer


PHILADELPHIA, Dec. 2, 2014 (GLOBE NEWSWIRE) -- Chemtura Corporation (NYSE:CHMT) (Euronext Paris:CHMT) ("Chemtura") announced today the preliminary results of its modified Dutch auction tender offer, which expired at the end of the day, 12:00 midnight, New York City time, on December 1, 2014.

Based on the preliminary count by Computershare Trust Company, N.A., the depositary for the tender offer, a total of approximately 12.5 million shares of Chemtura's common stock were validly tendered and not validly withdrawn at or below the expected purchase price of $24.20 per share, including approximately 0.9 million shares that were tendered through notice of guaranteed delivery.

In accordance with the terms and conditions of the tender offer and based on the preliminary count by the depositary, Chemtura expects to acquire approximately 12.5 million shares of its common stock at an anticipated price of $24.20 per share, for an aggregate cost of approximately $302.4 million, excluding fees and expenses relating to the tender offer. As more than $300.0 million of shares were tendered at or below the anticipated price of $24.20, Chemtura intends to exercise its right to accept an additional $2.4 million of shares. As such, no proration is required and all shares validly tendered and not properly withdrawn at or below $24.20 will be accepted for purchase. The shares expected to be acquired represent approximately 14.5% of the total number of shares of Chemtura's common stock issued and outstanding as of October 15, 2014.

The number of shares expected to be purchased in the tender offer and the purchase price are preliminary and subject to change. The preliminary information contained in this press release is subject to confirmation by the depositary and is based on the assumption that all shares tendered through notice of guaranteed delivery will be delivered within the three trading day settlement period. The final number of shares to be purchased and the final purchase price will be announced following the expiration of the guaranteed delivery period and the completion by the depositary of the confirmation process.
