Ad hoc disclosure pursuant to Section 15 WpHG
of PNE WIND AG (ISIN: DE000A0JBPG2)
PNE WIND AG makes claims for damages under a purchase contract in
connection with the acquisition of the shareholding in WKN AG
Cuxhaven, December 9, 2014 - PNE WIND AG's Board of Directors received
today the Supervisory Board's approval to make claims for damages under a
purchase contract against Volker Friedrichsen Beteiligungs-GmbH in
connection with the WKN AG shareholding acquired in 2013.
These claims for damages are estimated to total up to EUR 6.2 million. The
company also reserves the right to enforce further claims for damages.
Furthermore, the Supervisory Board authorised the Board of Directors to
make the relevant claims by way of arbitration.
The claims concerned relate mainly to whether individual wind farm projects
at WKN AG were overvalued on the date of the acquisition of the
shareholding by PNE WIND AG. As a result of the overvaluation of individual
projects, the Board of Directors expects the PNE WIND's Group EBIT to be
negatively impacted in the amount representing a low to medium single-digit
million figure for the 2014 financial year. Based on the current level of
knowledge, the Board of Directors confirms the published guidance, which
forecasts a cumulative Group EBIT totalling EUR 110 to 130 million during
the 2014 to 2016 financial years.
