Anderson has been named Vice President – Adjacent Services. Mr. Anderson joins the Company from Revenue Analytics, Inc., where he was a Partner and responsible for driving business growth and expansion into new industries. Prior to Revenue Analytics, Mr. Anderson worked for Oracle Corporation and JDA Software in both sales and operational leadership roles. Mr. Anderson began his career at Andersen Consulting, now Accenture, in its Supply Chain Strategy Practice.

In connection with Mr. Anderson's employment, on January 12, 2015, the Company granted equity awards to Mr. Anderson consisting of 5,000 shares of restricted stock, as well as options to purchase 50,000 shares of the Company's common stock. The restricted stock and options will vest in equal one-third increments on each of January 12, 2016, January 12, 2017 and January 12, 2018, subject to Mr. Anderson's continued employment with the Company. Options vesting in 2016, 2017 and 2018 will have exercise prices equal to $5.28, $5.80 and $6.33 per share, respectively. The restricted stock and options also vest in full in the event of a change in control of the Company, provided Mr. Anderson remains continuously employed by the Company until such event.
The grants were approved by the compensation committee of the Company's board of directors, which committee is comprised solely of independent directors, and were granted as an inducement material to Mr. Anderson entering into employment with the Company in accordance with Nasdaq Listing Rule 5635(c)(4).
