IXONOS: NOTIFICATION OF MAJOR SHAREHOLDINGS AND VOTING RIGHTS IN IXONOS PLC UNDER CHAPTER 9 SECTION 10 OF THE SECURITIES MARKETS ACT
Ixonos Plc has received Turret Oy Ab’s and Holdix Oy Ab’s notifications of major holdings and proportions of voting rights in the Company in accordance with Chapter 9 Section 5 of the Finnish Securities Markets Act.
Tremoko Oy Ab, a company under Turret Oy Ab’s and Holdix Oy Ab’s control, subscribed for altogether 96 670 000 new shares of Ixonos Plc on 10 February 2015. A flagging notification related to the arrangement was given on 10 February 2015. As a result of entering Tremoko Oy Ab’s shares in Ixonos Plc in the Trade Register, Tremoko Oy Ab’s share of ownership and votes in Ixonos has risen from 49 008 088 shares (46.1 per cent) to 145 678 088 shares (71.8 per cent of all shares and votes).
Once the new shares were entered in the Trade Register on 11 February 2015, Tremoko Oy Ab’s share of ownership and votes exceeded the flagging limits of 50 per cent and two thirds. The share of indirect ownership of both Turret Oy Ab and Holdix Oy Ab of Ixonos Plc’s shares and votes has changed in proportion to the change in Tremoko Oy Ab’s share of ownership and votes.
Turret Oy Ab holds 65 per cent of Tremoko Oy Ab shares and Holdix Oy Ab holds 35 per cent. Turret Oy Ab and Holdix Oy Ab exercise power over Tremoko Oy Ab jointly on the basis of a shareholders’ agreement.
Ixonos has a total amount of 202 983 536 shares and votes.
