Auriga Industries A/S, Harboøre, Denmark, 2015-02-12 15:37 CET (GLOBE NEWSWIRE) --

Company announcement no. 1/2015

February 12, 2015

Revised financial calendar 2015 - Changed date for AGM

The Annual General Meeting (AGM) in Auriga will be held on April 30, 2015, and not on March 27, 2015, as previously announced.

As announced on September 8, 2014, Auriga has signed an agreement to divest Cheminova, but closing of the transaction has not yet occurred. The remaining competition clearances are still outstanding, but closing is expected to take place in March or April. It is still Auriga’s intention to distribute the proceeds from the divestment to the shareholders as quickly as possible, when closing has occurred.

The deferred date for the AGM will expectedly enable Auriga to close the transaction before the AGM is to be held, where Auriga also expects to be able to give more information about the expected distribution of proceeds from the divestment.

Requests of items to be included on the agenda for the AGM must be received by Auriga no later than Wednesday, March 18, 2015.

The Annual Report 2014 will be released as planned on February 20, 2015, upon approval by the Board of Directors.

The revised financial calendar for 2015 is now:

February 20, 2015:          Annual Report for 2014

March 18, 2015:              Deadline for agenda items for the AGM 2015
