MIAMI, Feb. 12, 2015 (GLOBE NEWSWIRE) -- Platform Specialty Products Corporation (NYSE:PAH) ("Platform") has filed today an amendment to its resale shelf registration statement on Form S-3, initially filed with the Securities and Exchange Commission (the "SEC") on February 2, 2015 (the "Registration Statement"). The filing of the Registration Statement does not correspond to any stockholder's request to sell.
The Registration Statement was filed to satisfy Platform's obligations under a registration rights agreement entered into on November 7, 2013 with funds managed by Pershing Square Capital Management, L.P. ("Pershing Square") pursuant to which Platform agreed to file a registration statement for Pershing Square promptly after Platform became eligible to file a registration statement on Form S-3. Platform became Form S-3 eligible on January 23, 2015. When effective, the Registration Statement will also convert Platform's existing resale registration statements on Form S-1, initially filed with the SEC on May 23, 2014 and on November 3, 2014, into a registration statement on Form S-3.
