Tallinna Kaubamaja AS published the Stock Exchange announcement on 11th of November 2014, which stated the merger of Viking Security AS (acquiring company) and Topsec Turvateenused OÜ (company being acquired).
Merger resolutions of the Viking Security AS and Topsec Turvateenused OÜ were adopted on 20th of January 2015 and Commercial Register registered the abovementioned merger on 26th of February 2015.
According to the merger agreement signed on 11th of November 2014 the legal successor of Topsec Turvateenused OÜ is Viking Security AS. By registration of the merger, all assets of Topsec Turvateenused OÜ were given over to Viking Security AS. In connection to the registration of the merger, Topsec Turvateenused OÜ was deleted from the Commercial Register. The share capital of the acquiring company does not change.
