Complementing „Latvijas balzams” announcement from January 5 , 2015, on share capital acquisition in limited liability company „Daugavgrivas 7”, which is active in the field of real estate, the Company specifies the following information:
On 5 January 2015 JSC „Latvijas balzams” signed a Purchase agreement for Shares and acquired 100% of the shares in the Limited Liability Company “Daugavgrivas 7” for the purpose of establishing a representation centre to promote its products, strengthen the company image and welcome its cooperation partners at the property owned by the Limited Liability Company “Daugavgrivas 7”. Limited liability company’s „Daugavgrivas 7” equity capital is EUR 20 853 502.
According to concluded Agreement, the purchase price at the amount of 1 EUR shall be paid within 1 (one) month from the moment, when JSC “Latvijas balzams” is registered as a shareholder of Limited liability company “Daugavgrivas 7” in Commercial register of the Register of Enterprises of the Republic of Latvia.
Limited liability company „Daugavgrivas 7” is in civil proceeding with limited liability company „Ierosme”. The amount of claim of limited liability company „Ierosme” is LVL 174 500 (EUR 248 291,13). The amount of counterclaim of limited liability company „Daugavgrivas 7” is LVL 619 785 (EUR 881 874,60).
There are no valid agreements between JSC „Latvijas balzams” and Limited liability company „Daugavgrivas 7”.
