Between Wirecard Group and Lufthansa AirPlus Servicekarten GmbH an
agreement on the acquisition of core acquiring customer contracts of credit
card acceptance as well as further other chosen assets from Lufthansa
AirPlus Servicekarten GmbH has been executed Yesterday late evening. The
acquisition comprises of credit card acceptance agreements and distribution
agreements as well as network provider contracts. Among the high volume
customers of Lufthansa AirPlus Servicekarten GmbH are primarily
international airlines.
The purchase price payable in connection with the transaction consists of
cash payments in the amount of approx. EUR 13.0 million plus earn-out
components of up to approx. EUR 1.0 million for the years 2015 and 2016.
The Closing of the transaction, which requires common approvals by the
respective bodies of both parties and which is subject to the clearance by
the German Federal Cartel Office, is expected to take place in the first
half of the year 2015. In the first twelve months after closing a
contribution of an amount of approx. EUR 1.5 million to the consolidated
operational earnings before interest, taxes, depreciation and amortization
(EBITDA) of the Wirecard Group is expected. Additional costs for
integration will presumably amount to EUR 0.7 million in total.
