Result of the extraordinary general meeting held on 6 March 2015
On Friday 6 March 2015 at 6.00 a.m. CET, an extraordinary general meeting of NNIT A/S ("NNIT") was held at the offices of Gorrissen Federspiel, H.C. Andersens Boulevard 12, DK-1553 Copenhagen V.
As described in the offering circular, which was published by NNIT on 23 February 2015 and supplemented on 2 March 2015, an extraordinary general meeting has been held at which Wilbert A.M. Kieboom, Eivind Kolding, and John Beck were elected by the general meeting as new members of the Board of Directors and Wilbert A.M. Kieboom was elected as Deputy Chairman. Lars Fruergaard Jørgensen resigned as a member of the Board of Directors in connection with the general meeting as also described in the offering circular of 23 February 2015 as supplemented.
In immediate continuation of the extraordinary general meeting, Anders Vidstrup and Alex Steninge Jacobsen who were elected as employee representatives in January 2015, also joined the Board of Directors.
Hereafter, the Board of Directors of NNIT consists of Jesper Brandgaard (as Chairman), Wilbert A.M. Kieboom (as Deputy Chairman), Anne Broeng, Eivind Kolding, John Beck and René Stockner elected by the general meeting and Alex Steninge Jacobsen and Anders Vidstrup as employee representatives.
Wilbert A.M. Kieboom, Anne Broeng, John Beck and René Stockner will be regarded as independent members of the Board of Directors. Jesper Brandgaard and Eivind Kolding will not be regarded as independent members of the Board of Directors.
Moreover, the Board of Directors has decided that NNIT's Audit Committee will consist of Anne Broeng (as chairman for the Audit Committee), John Beck and Alex Steninge Jacobsen.
