Heat Biologics, Inc. Announces Closing of Public Offering of Common Stock and Full Exercise of the Underwriters' Over-Allotment Option


DURHAM, N.C., March 16, 2015 (GLOBE NEWSWIRE) -- Heat Biologics, Inc. ("Heat" or the "Company") (Nasdaq:HTBX), a clinical stage biopharmaceutical company focused on the development of cancer immunotherapies, today announced the closing of a previously announced underwritten public offering of 1,886,000 shares of common stock at a public offering price of $6.50 per share, which includes 246,000 shares of common stock to cover over-allotments. The Company granted the underwriters a 45-day option to purchase up to an aggregate of 246,000 additional shares of its common stock to cover over-allotments, which the underwriters exercised in full.

The gross proceeds to Heat from this offering are expected to be $12,259,000 before deducting underwriting discounts and commissions and other estimated offering expenses payable by the Company. The Company intends to use the net proceeds from this offering for general corporate purposes, which may include, among other things, increasing its working capital, funding research and development (including clinical trials), vendor payables, regulatory submissions, hiring additional personnel and capital expenditures. In addition, the Company may use a portion of the net proceeds for licensing or acquiring intellectual property to incorporate into its products and product candidates or its research and development programs or to in-license, acquire or invest in complementary businesses or products.

Aegis Capital Corp. acted as sole book-running manager for the offering.

H.C. Wainwright & Co., LLC acted as lead manager for the offering.
