Zealand increases share capital after exercise of employee warrants and announces trading in the company’s shares and related securities by executives and their related parties


Copenhagen, 2015-03-21 10:11 CET (GLOBE NEWSWIRE) -- 21 March 2015 - Zealand Pharma A/S (Nasdaq OMX Copenhagen A/S: ZEAL) (“Zealand”) announces that the company’s share capital has been increased by nominal DKK 120,833 divided into 120,833 new shares with a nominal value of DKK 1 each. The increase is a consequence of the exercise of employee warrants granted under three of the company's warrant programs as described in the company’s Articles of Association.

 

The subscription price is DKK 50.27 per share for 90,807 of the new shares of nominal DKK 1 and DKK 77.00 per share for 30,026 of the new shares of nominal DKK 1. The total proceeds to Zealand from the capital increase amounts to DKK 6,876,870.

 

Each new share of nominal DKK 1 carries one vote at Zealand’s general meetings. The new shares give rights to dividend and other rights from the time of the warrant holder's exercise notice.

 

The new shares will be listed on NASDAQ OMX Copenhagen A/S following registration of the capital increase with the Danish Business Authority, upon which the share capital of Zealand will be nominal DKK 23,313,880 divided into 23,313,880 shares with a nominal value of DKK 1 each.

 

The content of this announcement has no impact on the company’s financial outlook for 2015.
