Constitution of the Board of Directors in Genmab A/S, Grant of Restricted Stock Units to two Board Members and Grant of Warrants to Employees in Genmab

Copenhagen, Denmark; March 26, 2015 – Following Genmab A/S’ (OMX: GEN) Annual General Meeting held on March 26, 2015, the Company’s Board of Directors met to constitute itself. Mats Pettersson was appointed Chairman and Dr. Anders Gersel Pedersen was appointed Deputy Chairman. It was decided to grant 5,400 restricted stock units to the two new members of the Board of Directors and to issue 22,050 warrants to employees of the Company and the Company’s subsidiaries.

Each restricted stock unit provides the owner with a right and obligation to receive one share in Genmab A/S of nominally DKK 1. The fair value of each restricted stock unit is equal to the closing market price on the date of grant of one Genmab A/S share, DKK 466.20.

The restricted stock units will vest on the first banking day of the month following a period of three years from the date of grant. Furthermore, the restricted stock units are subject to vesting conditions set out in the restricted stock unit program adopted by the Board of Directors in accordance with the general guidelines for incentive-based remuneration adopted by the shareholders at the annual general meeting. The exercise price for each warrant is DKK 466.20. Each warrant entitles the owner to subscribe one share of nominally DKK 1. On the basis of an exercise price of DKK 466.20 and by application of the Black-Scholes formula, the average value of each warrant can be calculated as DKK 154.92 based on an interest rate of 0.4000% and the historical volatility of Genmab A/S shares calculated at 42.02%.

The warrants vest in blocks of 25% one, two, three and four years after the grant date, and all warrants expire at the seventh anniversary of the grant date. The new warrants were granted pursuant to the warrant plan adopted by the board on April 25, 2012.
