Notice to Creditors Regarding the Filing of a Merger Proposal with the
Israeli Registrar of Companies
In accordance with Section 318 of the Companies Law, 5759-1999 of the State
of Israel and Regulation 3 of the Companies Regulations (Merger), 5760-2000
of the State of Israel, notice is hereby given to the creditors of Orad
Hi-Tec Systems Ltd., Israeli public company number 52-004439-7 ("Orad"), to
the extent existing, that on the 19th day of April, 2015, Orad and Messinio
Ltd. ("Messinio"), Israeli private company number 51-523289-0 (a
wholly-owned indirect subsidiary of Avid Technology, Inc., a Delaware
corporation ("Avid")), have filed a merger proposal to the Israeli
Registrar of Company, whereby Messinio will merge with and into Orad. Upon
completion of the merger, Orad will become a wholly-owned indirect
subsidiary of Avid.
Orad's creditors are hereby invited to view the merger proposal at the
offices of the Israeli Registrar of Companies, at Orad's registered office
in 15 Atir Yeda, Kfar Saba, Israel, during normal business hours and
after coordinating in advance with Mr. Ilan Sidi, Orad's Chief Financial
Officer (+972-9-767-6862), as well as at Meitar Liquornik Geva Leshem Tal,
Law Offices, during normal business hours and after coordinating in advance
with Mr. Assaf Naveh, Adv. (+972-3-610-3100).
