Distribution of earnings

The AGM decided that no dividend will be paid to shareholders and that
previously retained earnings, including net income 2014, a total of 10
57 521 SEK, will be carried forward.


 

Discharge from liability

The members of the Board of Directors and the CEO were discharged from
liability for the fiscal year 2014.

 

Election of Board of Directors, Auditor and their remuneration

Rikard Akhtarzand and Kenneth Lindqvist were reelected as members of the
Board and Staffan Torstensson was elected as Chairman of the Board.
Hans-Petter Andersson declined reelection.  

The AGM reelected Ernst & Young AB as Auditor with Johan Eklund as
Chief Auditor for the period until the next AGM.

The AGM resolved, on a yearly fee to the Chairman of the Board of
150 000 SEK and 75 000 SEK to other non-employee members of the Board.
The yearly fee to the Auditor shall be in accordance with approved
invoice and no yearly fee shall be paid to members of the Nomination
Committee.

The AGM resolved to approve the same guidelines for remuneration to the
group management as was resolved by the AGM 2014. It was resolved that
the members of the Nomination Committee shall be elected through the
same procedure as previous years.

 

Authorization for the Board to issue new shares

The AGM authorized the Board to issue new shares and/or warrants and/or
convertible bonds with or without preferential rights for shareholders.
