Bulletin from Proffice Aktiebolag’s (publ) Annual General Meeting 2015

PRESS RELEASE               Stockholm, April 28, 2015

The following was decided at Proffice’s Annual General Meeting on April 28,
2015.

The proposed dividend of SEK 0.90 per share was adopted by the meeting, with a
record date for the dividend on Thursday, April 30, 2015. The dividend is
expected to be paid from Euroclear Sweden on Wednesday, May 6, 2015.

The parent company’s and the Group’s income statements and balance sheets were
adopted and the Board of Directors and the Managing Director were discharged
from liability for the financial year 2014.

Cecilia Daun Wennborg, Karl Åberg, Lars Johansson, Susanna Marcus, Juan Vallejo
and Axel Hjärne were re-elected as members of the Board. Cecilia Daun Wennborg
was re-elected as Chairman of the Board.

The meeting resolved that fees to members of the Board and members of the
committees and auditor shall be payable in accordance with the nomination
committee’s proposal.

The Board of Directors’ proposal for remuneration guidelines for the Group
Management were approved by the meeting.

In accordance with the proposal by the Board of Directors, the meeting resolved
to authorize the Board to decide on new share issues of no more than 3,500,000
series B shares.

In accordance with the Board of Directors’ proposal, the meeting resolved to
authorize the Board to resolve on acquisitions of own shares on NASDAQ Stockholm
and through a directed offer to the shareholders, however such that the
Company’s holding of own shares amounts to no more than 10 per cent of all
shares in the Company. In accordance with the Board of Director’s proposal, the
meeting also resolved to authorize the Board to resolve on transfer of own
shares in conjunction with company acquisitions.
