The Offeror (as defined below) announces that after giving effect to Titanium Transportation Group Inc.'s (formerly Northeastern Group Inc.) (the "Company") previously announced "three-cornered" amalgamation (the "RTO") under the provisions of the Canada Business Corporations Act, the Offeror beneficially owns and controls an aggregate of 3,730,623 common shares of the Company ("Common Shares") and 250,000 stock options to purchase Common Shares (collectively, the "Acquired Securities"). Pursuant to the RTO, Titanium Transportation Group Holdings Ltd. ("OpCo"), 9050400 Canada Inc. ("CanCo") and a wholly-owned subsidiary of the Company amalgamated, the existing shareholders of OpCo and CanCo became shareholders of the Company, and the amalgamated entity continued as a subsidiary of the Company.

Pursuant to the RTO, the Offeror acquired beneficial ownership and control over the Acquired Securities, representing approximately 12.32% of the outstanding Common Shares (based on 30,288,099 Common Shares expected to be outstanding following the completion of the RTO in the Listing Application dated March 31, 2015) and 13.03% of the outstanding Common Shares on a partially-diluted basis.

The Acquired Securities were acquired for investment purposes. The Offeror may from time to time acquire additional securities of the Company, dispose of some or all of the securities of the Company or maintain its current securities position in the Company.
