TORM initiates a Scheme of Arrangement process


With reference to announcement no. 9 of 20 April 2015, the new Restructuring Agreement has been signed by TORM, Oaktree Capital Management and a majority of the Lenders holding in aggregate 94% of TORM’s existing loan facilities by value (as of 12 May 2015).

TORM is seeking to achieve the support of all from its Lenders for the implementation of the Restructuring. However, in case less than 100% support is achieved, TORM will obtain the consents necessary to implement the Restructuring through an English law Scheme of Arrangement. TORM has today initiated this scheme process by filing an application at the High Court in London.

The use of a Scheme of Arrangement will allow the Restructuring to be implemented without 100% lender consent, so long as it has the support of 75% by value and a majority in number of the relevant classes of TORM’s lenders who attend and vote at any such scheme meeting. As stated in the first paragraph, TORM has already obtained the required minimum lender consent.

The final implementation of the restructuring would be subject to certain conditions precedent, including required approvals required by public authorities.
